Terms

Terms of service

Effective 21 September 2026. These terms are between you and W2gMatch ("W2gMatch", "we"), operated by its parent company, MemorySpace.ai, LLC, 505 S Upham St, Denver, CO 80226. hello@w2gmatch.com.

1. What the service is, and is not

W2gMatch reads gambling tax documents and produces reconciled workpapers, request lists and figures for the person preparing a return. It is document reconciliation software. It does not prepare or file returns, does not give tax or legal advice, and takes no position on how any figure should be reported. Every workpaper is reviewed and signed by the engaged firm or by you; the decision is theirs and yours.

The tax answer pages on this site are general information, dated and sourced as described in the editorial policy. They are not advice for your situation.

2. Accounts

A firm account is for a licensed accounting or tax practice and the people it invites. An individual account is for the filer whose documents it holds. You are responsible for what is done under your sign-in, for keeping it private, and for the accuracy of the documents and details you upload. We may close an account that is used to misrepresent who is behind it.

3. Plans, packages and payment

  • Firm plans cover one tax season. A client license is used the moment a client is added for that season and stays used whether or not the client is later archived or removed. Moving to a larger plan mid-season costs the difference between the two.
  • A firm account that has redeemed a firm code, from our email or requested at w2gmatch.com/firm-code, may process one client at no charge. Codes are issued to accounting and tax firms, tied to the firm's own email domain, one per firm. A firm account without one pays from its first client.
  • Individual packages cover one filer for one tax year, with the add-ons listed on the pricing page.
  • Prices are in US dollars, charged once through Stripe at purchase, and are the ones shown on the pricing page at the time.
  • If the service has not done what the pricing page says for your purchase, write to hello@w2gmatch.com within 30 days and we will put it right or refund the purchase.

4. Statement retrieval on your behalf

When you ask us to request win/loss statements for you, you authorise us to send signed requests to operators by email, fax, mail or phone using the details you give. Where you separately consent in writing to our using your operator sign-in details, you confirm the account is yours and that you may share access to it; you can withdraw that consent at any time and the details are deleted. Operators decide what they release and when; we do not promise a statement will be provided.

5. Your documents

Your documents stay yours. You give us the right to store, read and process them to provide the service, and to share them with the firm you are working with. How they are handled is set out in the privacy policy.

6. Security, and what no one can promise

We protect your documents with the measures described in the privacy policy, and we review them continually. If we learn that your information has been accessed without authorisation, we will tell you without undue delay and as the law requires.

No method of electronic storage or transmission is 100% secure. We do not promise that the service, or the hosting, database, email, payment, messaging and AI providers it runs on, will never be hacked, infiltrated, intercepted, infected or otherwise accessed without authorisation, or that data will never be lost, altered or disclosed as a result. You assume all risk of data loss, unauthorised access to, or disclosure of the documents and information you upload.

Your part of keeping the account safe:

  • Use a strong password that you use nowhere else, keep it private, and keep the email account and devices you sign in from secure.
  • Tell us at hello@w2gmatch.com as soon as you suspect someone else has used your account.
  • Keep your own copies of what you upload. The service is not a backup or a records archive.
  • A firm gives access only to its own people, and removes it when they leave.

We are not responsible for loss that follows from a sign-in, device, email account or network under your control being compromised.

7. The service is provided as is

To the fullest extent the law allows, the service is provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, security, and uninterrupted or error-free operation.

The figures depend on the documents supplied and on software reading them, which can misread. Every workpaper is to be reviewed by a person before it is used.

8. Limits on our liability

To the fullest extent the law allows:

  • W2gMatch, its parent company MemorySpace.ai, LLC, and their owners, staff and contractors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data.
  • That includes loss arising from unauthorised access to, or hacking, infiltration, breach, disclosure, loss or corruption of, our systems or your information, from the acts of third parties, and from the failure of a provider we rely on: for example identity theft, fraud, credit monitoring, notification costs, regulatory action, and claims made against you by your own clients.
  • We are not liable for the outcome of a return, a notice, assessment, penalty or interest from a tax authority, or a decision taken on the basis of a workpaper.
  • Our total liability for all claims connected with the service, whatever the legal theory, is limited to the greater of (A) the amount you paid us during the three (3) months preceding the date of the claim, or (B) one hundred dollars ($100).
  • A claim must be brought within one year of the event it arises from.

These limits apply even if we were told the loss was possible, and even if a remedy fails of its essential purpose. They are part of the price: the service could not be offered at it without them. Some jurisdictions do not allow some of these exclusions; nothing here limits liability that cannot be limited by law, and where a limit cannot apply in full it applies as far as it can.

9. Other people's documents, and claims they bring

A firm that uploads or requests a client's documents confirms that it has that client's authority and any consent the law requires to disclose their tax information to a service provider, and that it remains responsible for its own duties to its clients, including its information security plan and any notice it owes them after an incident.

You will defend, indemnify, and hold harmless W2gMatch, its parent company MemorySpace.ai, LLC, and their owners, staff and contractors from any and all claims, damages, obligations, losses, liabilities, costs, and expenses, including reasonable legal fees, brought by your clients or any third party and arising from documents you had no right to share, your breach of these terms, or the compromise of a sign-in under your control.

10. Disputes: arbitration, one person at a time

Write to hello@w2gmatch.com first; most things are settled by a reply. If a dispute is not resolved within 30 days of that, this section applies.

Any dispute connected with the service or these terms is resolved by binding arbitration before a single arbitrator of the American Arbitration Association, under its Consumer Arbitration Rules for an individual and its Commercial Arbitration Rules for a firm, and not in court before a judge or jury. The arbitration takes place in Denver, Colorado, or by telephone or video if you prefer. You and we each give up the right to bring or join a class action, a class-wide arbitration, or any other proceeding on behalf of other people; the arbitrator may decide only the claim of the one person or firm before them.

  • Either of us may instead take a claim that qualifies to small claims court.
  • Either of us may go to court to stop misuse of the service or of intellectual property while an arbitration is pending.
  • You may opt out of arbitration by writing to hello@w2gmatch.com within 30 days of first accepting these terms; the rest of the terms still apply.
  • If the waiver of class proceedings cannot be enforced for a claim, that claim is heard in court and not in arbitration.

11. Agreement, changes and contact

By accessing or using W2gMatch.com you agree to be bound by these terms. You confirm it by ticking the box when you create an account, or the first time you sign in after they change; we keep a record of when you did. We may change these terms; a change that matters will be announced by email and the date at the top will move.

These terms are governed by the laws of the State of Colorado. A dispute that is not arbitrated under section 10 is heard in the state or federal courts located in Colorado. If a part of these terms cannot be enforced, the rest stands. Questions go to hello@w2gmatch.com; legal notices go to legal@w2gmatch.com.

In short

  • We protect your documents as the privacy policy describes, and tell you promptly if they are ever exposed.
  • No online system is 100% secure, and you assume the risk of unauthorized access or data loss. The service is provided as is, and we do not promise it cannot be breached.
  • Our liability, including after unauthorized access or a data breach, is limited as sections 6 to 9 set out, and disputes go to individual arbitration (section 10).
